網站使用同意條款
一、前言
1. 歡迎使用「超视界显示技术（广州）有限公司」（包含其分公司、子公司及關係企業等，以下通稱本公司）所提供之供應商入口網站服務（以下簡稱本服務），本公司供應商入口網站（以下簡稱本網站）是由本公司所建置，當 貴公司註冊完成或開始使用本服務時，即視為 貴公司已經閱讀、了解並同意本網站使用同意條款（以下簡稱本條款）。本條款之約定與 貴公司（或與贵公司之关联公司）及本公司已簽署、而與本服務相關之契約互為補充關係，貴公司（或與贵公司之关联公司）已簽署與本服務相關之契約或其他書面文件不因而被取代。日後如有簽署其他契約的必要， 貴公司（或與贵公司之关联公司）同意全力配合。
二、 貴公司註冊義務及隱私權聲明
1. 請依註冊帳號申請程序所提示之項目，登錄 貴公司正確、真實及完整之資料。當 貴公司之資料有異動時，請立即更新，以維持 貴公司資料之正確、真實及完整。如果因為 貴公司填寫不實、未及時更新原登錄資料，以致於本公司未能履行雙方（或与贵公司之关联公司）其他約定，或者因為 貴公司有冒用他人名義使用本網站、竄改他人資料等不法行為，以致於侵害他人的權利時， 貴公司應自行（或與贵公司之关联公司連帶）承擔一切法律責任。
2. 如果 貴公司有前項行為時，本公司有權不經通知、隨時終止 貴公司使用本網站及暫停提供本服務。

3. 對於 貴公司登錄或留存的公司或個人資料，包括姓名、身分證字號、地址、電子郵件信箱及其他依法受保護的資料，除經 貴公司同意或有下列事由或其他法律規定以外，本公司將不任意洩漏予第三人。惟貴公司同意本公司得將貴公司之各項資料提供予本公司之關係企業間作內部之利用：
(1) 司法或警察機關偵查犯罪或調查案件需要時。
(2) 政府機關依法律程序要求時。
(3) 因貴公司有違反法令或本服務條款的行為時。
(4) 基於維護公益或保護本公司或他人權利。
三、帳號密碼之保管及網站使用
1. 貴公司之申請者註冊完成並由本公司進行相關設定後， 貴公司之申請者將取得一組帳號及密碼， 貴公司之申請者應自行（或與贵公司之关联公司共同）負責此組帳號及密碼的機密與安全性，不得洩漏或提供給任何第三人，並應對此組帳號及密碼於本網站上所為的一切行為負責。
2. 本組帳號及密碼僅限於 貴公司使用， 貴公司不得出借或讓與給其他第三人使用。 貴公司並應告知本公司有權使用此組帳號及密碼之人的資料，事後如有變更，亦應立即通知本公司。
3. 如果 貴公司發現 貴公司的帳號及密碼遭人非法使用或有任何異常破壞使用安全之情形時， 貴公司應該立即通知本公司。本公司所採取的任何措施不解釋為本公司對 貴公司有明示或默示擔保或賠償責任，對於 貴公司的帳號及密碼遭人非法使用或異常破壞使用安全所受的損害， 貴公司應該自行負責。
4. 貴公司每次使用完畢後，應該確實登出本網站並結束 貴公司帳號及密碼的使用。
5. 貴公司應注意自己使用之電子信箱、上傳本網站的文件資料，未受有電腦病毒之感染，或有任何事由以致於第三人有主張侵權之虞，如果 貴公司發現有中毒、第三人主張侵權等情事，應該立即通知本公司，對於造成本公司或第三人的損害，亦應由 貴公司（及贵公司之关联公司）負責。
6. 貴公司應具備使用本網站所需要之電腦作業環境，以維持本網站的作業品質及穩定性。
7. 本公司並無義務儲存、備份本網站的資料，倘若本公司刪除或未儲存 貴公司傳送的任何資料，本公司不負任何法律責任。
8. 本公司將不定期更新本網站內容， 貴公司需自行注意內容、文件及資料之更新。
9. 除本條款另有約定外，貴公司上傳至本網站所有資訊或資料將視為非保密且非專有。本公司有權下載、列印、使用、複製、顯示、執行、修改、傳送、分析和分發這些資訊或資料。
四、 貴公司之責任與義務
1. 貴公司對於自本服務或本網站所取得的資訊或資料，除為履行雙方（或贵公司之关联公司）法律關係之目的使用以外，不得用於其他用途。 貴公司並同意對前述之資訊或資料，負保密義務，未經本公司同意，不得以任何方式提供給第三人。 貴公司對有權使用帳號及密碼之人，應使其負有不低於本條保密義務之責任。
2. 貴公司同意不為任何非法目的或以任何非法方式使用本服務，承諾遵守中華人民共和国法律規定、雙方契約、本條款約定及本公司之各項供應商管理規章，並同意不從事以下行為：
(1) 妨害他人名譽或隱私權。
(2) 侵害他人營業秘密、商標權、著作權、專利權或其他權利。
(3) 違反其依法律或契約所應負的保密義務。
(4) 冒用他人名義或捏造不實資訊。
(5) 竊取、竄改、破壞他人資訊。
(6) 擅自複製他人資訊轉售、轉載。
(7) 蓄意破壞他人電子郵件信箱或其通信設備。
(8) 傳輸或散播電腦病毒。
(9) 擷取非經所有者正式開放或授權之資訊。
(10) 未經同意收集他人電子郵件位址及其他個人資料。
(11) 其他有危害通信或違反法令之情事或有違反之虞。
3. 上述規定不代表本公司有義務對 貴公司傳送的內容做任何形式或實質之審查。如果本公司發現或經由第三人告知 貴公司有前項情事或有構成之虞時，本公司除有權逕行移除或刪除該內容以外，並有權取消、暫停 貴公司使用帳號及密碼的權限，或終止 貴公司（或贵公司之关联公司）之供應商資格及各項供應商服務。倘若造成本公司任何損失， 貴公司（及贵公司之关联公司）應負擔一切法律責任。
4. 本網站的內容、設計及網頁上所有圖片、照片、檔案、影像、軟體及資料等內容，其專利權、著作權、商標權、智慧財產權及其他權利，均屬於本公司所有。 貴公司非經本公司的書面同意，不得擅自複製、傳遞、改寫、編輯或以任何形式使用。
五、服務暫停或中斷
1. 倘若本公司網站發生下列情形之一時，本公司有權不經通知逕行停止或中斷本服務之全部或一部，對於 貴公司因此所受到的損害，本公司不負擔任何法律責任：
(1) 對於本網站相關系統設備進行遷移、更換或維護時。
(2) 發生突發性之電子通信設備故障時。
(3) 發生天災等不可抗力之因素時。
2. 對於本服務之暫停或中斷，可能造成 貴公司使用上的不便、資料遺失或其他經濟及時間上之損失，本公司一概不負責， 貴公司平時應自行採取適當的防護措施，以保障自身權益。
六、免責之聲明 WAIVER
1. 本網站服務係依本公司既有之規劃提供，本公司不擔保將符合 貴公司的所有需求。
2. 基於網際網路的特性， 貴公司了解並同意於使用本網站時，應自行採取防護措施，如果因為本公司人員、廠商、電信業者網路系統硬軟體設備之故障、失靈或人為操作上之疏失導致本網站服務全部或一部無法使用、遲延或有資料傳輸、儲存上之漏誤，或遭第三人侵入系統竄改、偽造資料時，本公司將不負任何法律責任。
3. 本公司就本網站各項服務，不負擔任何明示或默示之擔保責任。本公司不保證 貴公司於本網站所獲得或下載之資訊或資料的正確性、完整性、安全性、可靠性、合適性、不侵權，亦不保證網路系統不會斷線、錯誤或本網站資料傳輸的速率。對於 貴公司於本網站下載之任何文件、檔案及資料，造成 貴公司電腦系統的損壞或電腦資料的遺失，本公司不負任何法律責任。
七、賠償責任之限制
貴公司明確了解並同意本公司及其受僱人、代理人、授權人，無須為貴公司任何直接、間接、附隨、特別、衍生、懲罰性的損害負責，包括但不限於因下述事由所生利潤、商譽、使用、資料之損害或其他無形損失（即令本公司曾被告知該等損害之可能性亦同）：(i)使用或無法使用本服務；(ii)他人未經授權存取或修改您的傳輸或資料；(iii)任何第三人就本網站服務所為之聲明或行為，或(iv)任何其他與本服務有關者。
八、服務條款之修改
本公司有權新增、修改或刪除本條款或本網站服務之全部或一部， 貴公司同意自該修訂條款於本網站公告之時或本網站服務變更之時起受其拘束，本公司將不個別通知。如 貴公司於公告後繼續使用本網站，則視為 貴公司已經同意該修訂條款。
九、準據法及管轄法院
1. 關於本條款之解釋或適用，以中华人民共和国法律為準據法。
2. 貴公司因使用本網站而與本公司所生之爭議，雙方同意本於誠信原則解決之，如有訴訟之必要時，則以本公司注册地人民法院為第一審管轄法院。
TERMS OF SERVICE
1. ACCEPTANCE OF TERMS
Sakai SIO International GuangZhou CO.LTD and its branches, subsidiaries and affiliates (collectively hereinafter “SDP”) welcome you and the company you work for (collectively hereinafter “You”) to the Supplier Portal Site Services (“Service”). This Supplier Portal Site (“Portal Site”) is established by SPD. The completion of Your account registration or Your use of this Service shall be deemed that You have read, understood and accepted to the following Terms of Service (“TOS”). This TOS is NOT a placement but a supplement to agreement(s) executed between You (or Your affiliates) and SPD with respect to the Service. In the event that there is any necessity to execute other agreement(s), You (or Your affiliates) agree to fully cooperate with SPD.
2. YOUR REGISTRATION OBLIGATIONS AND SPD PRIVACY POLICY
(1) You agree to: (a) provide true, accurate, current and complete information about Yourself as prompted by the registration form
and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You (or Your affiliates) under take all liability for the event that (a) You provide any information that is untrue, inaccurate, not current or incomplete, and it leads to SPD fails to fulfill promises between You (or Your affiliates) and SPD, and (b) You use other person’s identity to use this Portal Site or falsify other’s Registration Data.
(2) In the event You commit any of the foregoing illegal conducts, SPD has the right to terminate and refuse to provide our Service without giving any prior notice.
(3) Except for obtaining Your consent or for the following matters required by the laws, SPD will not disclose any personal information that You registered or provided, including Your name, ID number, address, email address and other information protected under the laws, to any third party:
(i) Judicial or police investigations,
(ii) Required by a governmental authority under a legal process,
(iii) Any violation of You to the laws or TOS, and
(iv) For public interests or rights of SPD or a third party.
However, You agree that SPD may provide Your personal information to SPD affiliates for internal uses.
3. ACCOUNT AND PASSWORD RETENTION AND THE USE OF PORTAL SITE
(1) Once You complete Your registration and SPD completes related set-up, You will obtain a pair of account name and password. You (or with Your affiliates) are responsible for the secrecy and safety of the account name and password, and shall not disclose or provide these to any third party. You should also be responsible for all actions taken by under this pair of account name and password.
(2) Your account name and password are provided for Your own use, and prohibited to lend or transfer to any other third party. If You are a corporate entity, You should provide SPD the information of authorized users and update SPD for any changes.
(3) You shall immediately inform SPD if You find that Your account name and password are hacked for illegal use or threatened for safety. None of measures taken by SPD shall constitute, express or implied, a warranty or indemnification to You. You shall undertake all the consequences related to the hacks or safety threats.
(4) You shall fully logout Your account every time after using this Portal Site.
(5) Your email box and any documents that You upload to this Portal Site shall be free from virus and shall not infringe any third party’s rights. You shall immediately notify SPD when You learn that there is virus or infringement, You and Your affiliates shall be responsible to SPD and the third party for the damages caused hereinto.
(6) To assure the quality and stability of processing, You shall have adequate computer processing environment for using this Portal Site.
(7) SPD is not obligated to store or archive any data or information of this Portal Site. SPD is not liable for deleting or not storing data or information provided by You.
(8) This Portal Site is updated from time to time. You are obligated to pay attention to all the updates for contents, documents, and information of this Portal Site.
(9) Unless otherwise stated in this TOS, any information or documents that You upload to this Portal Site will be deemed non-confidential and non-exclusive. SPD has the rights to download, print, use, copy, display, execute, change, transmit, analyze, and distribute such information and documents.
4. YOUR RESPONSIBILITIES AND OBLIGATIONS
(1) Any information or documents that You obtain from this Service or Portal Site shall not be used for any purpose other than fulfilling legal obligations between You (or Your affiliates) and SPD. You shall keep such information and documents in confidence and refrain from disclosing any of them to a third party except obtaining SPD’s prior written consent. You shall have Your authorized account users obligated at least to the same extent as provided for herein.
(2) You agree not to use this Service for any illegal activities or use illegally. You agree to comply with laws and regulations of P.R.C., agreements between You and SPD, this TOS, and SPD’s rules related to supplier management. You also agree not to:
(i) offense other’s reputation or privacy
(ii) infringe other’s one or more tread secrets, trademarks, copyrights, patents or any other rights
(iii) violate Your non-disclosure obligations under the laws or contracts
(iv) use other’s identity without authorization or fabricate false information
(v) steal, falsify, or damage to other’s information
(vi) plagiarize other’s information or make sales of it
(vii) intentionally damage other’s email or communication facilities
(viii) transmit or spread computer viruses
(ix) take information that is not authorized or opened by the owner
(x) collect other’s email address or personal information without consent
(xi) be engaged in activities that would endanger the telecommunications or transmission or would violate or likely to violate the laws or regulations.
(3) SPD is not responsible for formality or substantive examination to any information that You transmit because of the foregoing clauses. In the event that SPD finds or is notified by a third party that You violate or likely to violate any of the foregoings, SPD has the rights to remove and delete the affected contents, to cancel or suspend Your account and password, and to terminate Your (or Your affiliates) vendor qualification and not to provide You SPD’s vendor services. You and Your affiliates agree to be liable for all SPD’s damages occurred thereof.
(4) All rights to the contents, designs, pictures, images, files, software, and documents of this Portal Site, including patent rights, copyrights, trademark, intellectual property rights and others, are reserved by SPD, and You shall not to copy, transmit, alter, edit or make any use to any of these without SPD’s written consent.
5. SERVICE SUSPEND OR DISCONNECTED
(1) In the event any of the followings occurs, SPD has the right to terminate or discontinue this Service in whole or in party without notice and SPD shall not be liable for any damages thereof:
(i) Any system/equipment moving, replacing or maintaining of this Portal Site.
(ii) Accidental breakdown to telecommunications electronic equipment(s)
(iii) Any force majeure events.
(2) In no event shall SPD be liable for Your inconvenience, economic loss, loss of data or time because of the termination or discontinuing of the Service. You shall ordinarily adopt proper precautions to ensure Your rights.
6. WAIVER
(1) THIS SERVICE IS PROVIDED BASED ON SPD’S CURRENT EXISTING SCHEMES. THERE IS NO WARRANTY FOR ANY QUALIFICATIONS TO YOUR NEEDS.
(2) DUE TO CHARACTERISTICS OF THE INTERNET, YOU UNDERSTAND AND AGREE THAT IT IS YOUR RESPONSIBILITY TO TAKE ADEQUATE PRECAUTIONS WHILE USING THIS PORTAL SITE. SPD WILL NOT BE LIABLE FOR (I) ANY DYSFUNCTIONS OR DELAY OF THIS PORTAL SITE OR ANY LOSSES AND ERRORS IN TRANSMISSION OR STORAGE BECAUSE OF (A) HARD WARE/SOFT WARE SYSTEM BREAKDOWN OF SPD, ANY OF ITS SUPPLIERS, OR TELECOM CORPORATIONS, OR (B) OPERATION MISTAKES CAUSED BY OMISSIONS OF EMPLOYEE; OR (II) ANY FALSIFICATIONS OR COUNTERFEITS BY HACKERS.
(3) THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THIS PROTOAL SITE. SPD DOES NOT WARRANT THAT (i) ANY INFORMATION OR DATA THAT YOU ACCQUIRE OR DOWN LOAD FROM THIS PORTAL SITE TO BE ACCURATE, COMPLETE, SAFY, RELIABLE, ADQUATE, OR NON-INFRINGING; (ii) THIS PORTAL SITE WILL NOT BECOME DISCONNECTED, ERROE OR SLOW IN TRANSMISSION. UNDER NO CIRCUMSTANCES WILL SPD BE LIABLE FOR ANY DAMAGES OR LOSES TO YOUR COMPUTER SYSTEM OR DATA WHICH RESULTED FROM YOUR DOWN-LOADING OF DOCUMENTS, FILES AND/OR INFORMATIONS FROM THIS PORTAL SITE.
7. LIMITATION OF LIABILITY
YOU UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES WILL SPD, ITS EMPLOYEES, REPRESENTITIVES, OR AUTHORIZED PERSONEL BE LIABLE FOR ANY DIRECT, INDRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, DERIVATIVE, OR PUNITIVE DAMAGES, INCLUDING THE DAMAGES OF PROFIT, GOODWILL, USAGES, DOCUMENTS OR OTHER INTANGIBLE LOSES (EVEN IF SPD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES ) CAUSED BY THE FOLLOWINGS: (i) USING OR NON-USING THIS SERVICE, (ii) UNAUTHORISED ACCQUIRING OR CHANGES TO YOUR DOCUMENTS OR TRANSMISSION, (iii) ANY DECLRATIONS OR ACTIONS OF A THIRD PARTY TO THIS SERVICE, OR (iv) ANY MATTERS RELATED TO THIS SERVICE.
8. AMENDMENT TO TOS
SPD reserves the right to modify this TOS and Service in whole or in part at any time, and without prior notice, by posting amended terms or implementing changes of Services on this Portal Site. Your continued use of the Portal Site indicates Your acceptance of the amended TOS.
9. GOVERNING LAW AND JURISDICTION
(1) This Agreement shall be governed and construed in accordance with the laws of People’s Republic of China.
(2) All disputes arising out of or in connection with this TOS shall be amicably resolved through good faith negotiation. In case of any disputes unresolved, the People’s Court where SDP is registered shall have the exclusive original jurisdiction.
